INTERNATIONAL BID ROUND TO DEVELOP SEVEN OIL AREAS

The Ministry of Petroleum and Mineral Resources and General Petroleum Corporation (GPC) invite International Petroleum Companies for an international Bid Round in order to complete exploration, development and production of Seven Oil Areas on the base of Production Sharing Contract.

1- This Bid Round includes two groups :

· Group I, consists of: West Tureb, Halima and Dohal oil areas (3 areas).

· Group II, consists of: Jaadeen, Tal-Asfar, Zenati and Al-Haloul oil areas (4 areas).

2- Tender Book includes:

· Basic Contractual and Commercial Conditions.

· Technical Part of the available data for the two Groups.

· PSC Model Agreement (draft).

Interested Bidders shall submit their offers based on the announcement, Basic Contractual and Commercial Conditions and a draft of Production Sharing Model Agreement.

This international Bid Round will be by public announcement and by an invitation for the already qualified companies.

All interested companies by public announcement shall submit the Qualifications Envelop that contains all financial and technical qualifications, and fill the attached Questionnaire Form. Not later than February 18th 2010. The submitted qualification documents will be studied by GPC which shall notify the qualification results to the Bidders after one month of receiving the Qualifications Envelop.

Qualified Bibbers shall submit their bids in three sealed envelopes to be put in fourth sealed envelope, at the Closing Date, as follows:

1- SEALED ENVELOPE (A) Shall contain:

1- A copy of receipt that proves the purchasing of the Tender Book by the Bidder.

2- Bid bond in amount of one hundred thousand EURO (100 000 €) for each Group to be submitted to GPC by irrevocable bank letter of Guarantee to be issued and confirmed by a Syrian bank in favor of GPC, which shall be valid for not less than six (6) months from the Closing Date of the Bid Round and shall be valid for extension for further period if needed.

This bond will be returned to the Bidder Company if its offer has not been accepted.

3- Previous experience in petroleum production development & EOR technologies and activities of the Bidder Company all over the world including development projects, reserves and latest used technology.

4- Article of Incorporation of the bidder’s company, the company’s Commercial Registration and recent certified copies of all documents that prove its legal existence as well as the 10 major shareholders if they are more than 100 and their nationalities.

5- Recent annual report and/ or official financial reports prove the financial strength of the bidder’s(s) company (ies), for the last three years.

N.B: GPC shall liquidate the Bid Bond guarantee amount without any legal procedure, in the following cases:

(a) The bidder withdrew before the announcement of the bid results;

(b) The successful bidder withdrew or failed to provide GPC with the necessary documents required (including the Performance Guarantee) before the final signature date which will be determined by GPC.

2- SEALED ENVELOPE (B) shall contain Technical Offer:

According to the basic information mentioned in the Technical Part of the Tender Book, and to the information which can be purchased by the Bidder from GPC’s Data Room, Bidder shall submit preliminary information about:

Proposed development plan, proposed work program and budget, initial estimation of oil in place……..etc.

N.B.: Bidder shall provide in his offer a reasonable and practical implementation plan and time schedule to implement and execute his obligations of the Initial Period.

3- SEALED ENVELOPE (C) shall contain Commercial Offer:

Bidders shall prepare their offers according to the Basic Contractual and Commercial Conditions of the Tender Book and confirm their clear commitments to the provisions and articles of the draft of the Production Sharing Model Agreement.

Envelope (C) “Commercial” shall not be opened unless all required documents in envelopes “(A) & (B)” were found fulfilling required documents and the bidder is technically accepted.

“CONFIDENTIAL”

Taking into consideration the following:

• Bidders should abide by the Terms and Conditions of this Bid Round and should submit their offers according to the Tender Book.

• Ministry of Petroleum & Mineral Resources shall have the right to reject any offer without giving reasons.

• Bidders have the right to review or purchase the technical data for the group(s) they would like to apply for.

• Each offer is considered valid for (6) months starting from the day that follows the closing date. It will be automatically extended for further (6) months starting from the day that follows the expiry date of the first period.

• The bidder who was notified by GPC as qualified Bidder, according to the result of qualification process, should submit his offer by the Closing Date of this announcement without having the right of extension.

• The successful bidder should submit to GPC the following documents (in both English and Arabic languages):

­ Article of Incorporation of the Bidder’s (s) company (ies),

­ The Commercial Registration of the Bidder’s(s) company (ies),

­ All documents that prove the company (ies) legal existence,

­ The company (ies) shareholders and their nationalities; and

­ The power of attorney of the Contractor’s representative, who is authorized to sign the Production Sharing Agreement (PSA). Such valid power of attorney will be submitted directly before the final signature and upon GPC notification.

All submitted documents should be notarized, authenticated and legalized by the competent authorities and the Syrian Embassy or the Consulate General of the S.A.R. in the Contractor’s country (ies) of origin and the Ministry of Foreign Affairs in Syria.

Offer(s) shall be disregarded if:

1. It includes any Field(s)/ Group (s) out of the Ministry of Petroleum & Mineral Resources’ International Bid Round 2010.

2. The bidder does not provide a copy of receipt that proves the purchasing of the Tender Book.

3. It doesn’t include the full amount of the Bid Bond.

4. Bidder submits his offer after the Closing Date of this announcement.

Starting ……th of January, 2010, interested companies can contact GPC to have the Tender Book against paying three thousand EURO (3.000 €). Also, Bidders can purchase the basic data according to the predetermined price list of fifteen thousand EURO (15.000 €) per group and twenty five thousand EURO (25.000 €) per the two groups classified as follows:

Data Room for G&G studies for evaluation will be made available to the interested companies.

The Bidder must sign an obligation to keep the copied data confidential.

Basic data will be available, for review, free of charge, in GPC’s Data Room, for all Bidders until the Closing Date.
